Fundamental Secrets LLC, doing business as CoinPicks (“CoinPicks,” “Company,” “we,” “us,” or “our”), publishes information, analysis, education, and commentary focused primarily on blockchain technology, cryptocurrency, digital tokens, market trends, and research methods, and provides related software tools — including the AI-powered tools we call “AI Traders” and our on-site chat assistant and mini-app builder, “CoinPicks AI.” CoinPicks AI has its own plain-English terms at coinpicksedu.com/chat/legal/terms, which apply in addition to these Terms whenever you use it.
These Terms and Conditions (“Terms”) govern your access to and use of coinpicksedu.com and any related websites, pages, communities, products, and services we operate (collectively, the “Website” or “Services”). By accessing or using the Website, you agree to be bound by these Terms on behalf of yourself and any entity you represent (“you”). If you do not agree, do not use the Website.
1. Educational Purpose — Not Financial Advice
The content CoinPicks produces is for educational and informational purposes only. It is not financial, investment, trading, legal, tax, or accounting advice, and it is not a recommendation, offer, or solicitation to buy, hold, or sell any security, token, cryptocurrency, or other asset.
CoinPicks does not provide individually tailored investment advice and does not consider your personal circumstances, objectives, or risk tolerance. CoinPicks is not registered as an investment adviser or broker-dealer with the U.S. Securities and Exchange Commission or with any state or other securities regulatory authority, and is neither licensed nor qualified to provide investment advice.
Any market commentary, research, “calls,” signals, watchlists, or examples we share — including in our private community, and including anything generated by or through our AI Traders or other software tools — are general educational content, not personalized recommendations. Cryptocurrency and digital assets are highly volatile and high-risk; you can lose some or all of your money. Never invest more than you can afford to lose. Always do your own research and consult a licensed financial, tax, or legal professional before making any financial decision. You are solely responsible for your own decisions and their outcomes.
2. AI Traders, Automated Trading, and Software Tools
CoinPicks offers software tools, including our “AI Traders” — written instruction sets (prompts) and configurations that you run inside a third-party artificial-intelligence assistant, such as Claude by Anthropic — along with other calculators, dashboards, and web applications (together, the “Tools”). Depending on how you set them up, the AI Traders can draft trade plans and, if you give the AI assistant a way to act in your own accounts, can place real trades automatically on your instructions, as described below. This section applies to every Tool we offer, free or paid, in addition to the rest of these Terms.
The Tools are education, not advice. Everything in Section 1 applies fully to the Tools and to everything they generate. An AI Trader may ask about your situation — for example, roughly how much you hold, your goals, or your comfort with risk — and shape its responses around your answers. Even so, its output is automatically generated educational content. It is not financial, investment, trading, legal, or tax advice; it is not a recommendation to buy, sell, or hold any asset; and using a Tool does not create any advisory, fiduciary, or client relationship between you and CoinPicks. When a Tool places a trade, it is carrying out your instructions — that execution is not a recommendation, and the decision remains yours.
AI output can be wrong. AI assistants can produce information that is inaccurate, incomplete, outdated, or simply made up, and they can miss important risks. Output is generated by the AI platform inside your own account — CoinPicks does not see, review, or approve it before you read it, and the same question can produce different answers at different times. Never act on AI output without verifying it yourself, and never make a financial decision based on AI output alone. This matters even more with automated trading: an AI mistake can become a real trade in your account. Supervise anything you automate.
The trading is done by the AI, in your accounts, on your instructions. When an AI Trader trades automatically, the trading itself is performed by the third-party AI assistant (for example, Claude, made by Anthropic) — not by CoinPicks. What CoinPicks provides is the written instructions and configuration that teach the assistant how you want it to trade. If you choose to give the assistant a way to act in your own exchange account, it can carry out the trading instructions you give it, such as “buy this coin if it reaches 20 cents,” automatically — including while you are not watching. You choose the account, you decide what access the assistant gets, you give the instructions and limits, and you can stop it at any time by ending the session or removing the access you gave it. This is self-directed trading: it is not CoinPicks trading for you, holding your money, or choosing your investments, and it does not make CoinPicks a broker, exchange, custodian, money manager, or investment adviser. Your use of the assistant — including letting it trade — is also subject to the AI platform’s own terms and usage policies.
Autonomous Apps — automation run by CoinPicks (optional). Some CoinPicks software can also carry out your instructions from our side, as an optional feature we call “Autonomous Apps.” Here is exactly how it works. You write your conditions in advance — for example, “buy $50 of bitcoin if the price falls 5% in one day” — and the software follows those written conditions and nothing else. It never invents a trade, never changes your rules, and has no judgment of its own: it is your instructions, executed by a machine. To turn it on, you create a special API key at your exchange with trading enabled and withdrawals disabled, and save it in your encrypted vault in Settings. We refuse keys that have withdrawal power. That key lets the software place the trades your conditions call for in your own account; it can never move money out of your account, and CoinPicks never has custody of your funds. You can pause everything or delete the key and your rules at any time, and each Autonomous App keeps a full log of everything it has done. Everything above still applies: this is self-directed trading; executing your conditions is not a recommendation; it does not make CoinPicks a broker, exchange, custodian, money manager, or investment adviser; and you remain solely responsible for your rules and their results.
Automation adds its own risks, and you accept them when you turn it on. Software and networks fail. Bugs, outages, delayed market data, exchange downtime, or rejected orders can make your conditions execute late, at worse prices, more than once, or not at all — including while you sleep. Markets can move sharply between the moment your rule triggers and the moment your order fills. Never automate a rule whose worst case you cannot afford, start small, and check the activity log often. We may pause, limit, or switch off Autonomous Apps — for everyone or for a single account — at any time for safety, maintenance, or legal reasons, and the feature may not be available for every exchange or in every place.
Your money stays in your own accounts. CoinPicks never has custody of your funds and can never deposit, withdraw, or move your money. The classic AI Trader runs entirely inside your own AI account and your own exchange account — CoinPicks is not part of that connection. The one place CoinPicks software ever holds an exchange key is the optional Autonomous Apps feature described above — and only a key you created yourself with withdrawals disabled, stored encrypted, deletable by you at any time. Beyond that: never give your exchange logins, passwords, private keys, or seed phrases to CoinPicks, to anyone on our team, or to anyone else — those we never ask for and never accept, and no legitimate CoinPicks tool or person will ever request them. If anything claiming to be CoinPicks asks for money, account logins, or your seed phrase, it is not ours — stop and email us at admin@coinpicksedu.com.
Automated trading is risky. On top of normal market risk, software, AI assistants, exchanges, and internet connections can fail, lag, misread an instruction, or behave in ways nobody expected. Orders can fill at worse prices than you wanted, not fill at all, or fire when you did not expect them — including while you sleep. You can lose money quickly, up to everything in the connected account. Start small, test every instruction with money you can afford to lose, check on any automation regularly, and never automate more than you are willing to lose. You are responsible for every trade a Tool places under your setup and your instructions. Execution is never guaranteed: we do not promise that any order will be placed, filled, or canceled at any particular time or price, or that any automation will be available or uninterrupted.
The AI Traders run on third-party platforms. To use an AI Trader, you run it inside an AI assistant operated by a third party (for example, Claude, operated by Anthropic), and any trading connection runs through your own accounts at third-party exchanges or wallets. Your use of those platforms is governed by their own terms of service and privacy policies and may require accounts with them. CoinPicks does not control third-party AI platforms, exchanges, or wallets and is not responsible for their availability, pricing, fees, conduct, security, or output. AI platforms update their models over time, so a Tool’s behavior and quality can change without notice.
Setup help is technical, not advisory. Our team may help you install or set up a Tool — for example, on a free setup call. That help is technical and educational only. Our team never takes control of your money or your accounts and never needs your passwords, API keys, or seed phrases. Our team members are not licensed financial advisers, and nothing said on any call is individualized investment advice or a recommendation to buy, sell, or hold any asset.
License and changes. The Tools, including the text of every AI Trader prompt, are CoinPicks content licensed to you under the “Intellectual Property and License” section below for your personal, non-commercial use only. You may not sell, resell, republish, or redistribute them. We may modify, suspend, or discontinue any Tool at any time without notice. All Tools and their output are provided “as is,” as described in the “Disclaimer of Warranties” section below.
3. Earnings and Results Disclaimer
CoinPicks makes no guarantee, representation, or warranty regarding any specific financial result, income, profit, or return. Any earnings figures, performance examples, testimonials, case studies, or results referenced anywhere on the Website or in our marketing — including past performance of any strategy, “call,” portfolio, or Tool — are illustrative only and are not typical. They reflect the experiences of specific individuals under specific conditions and should not be understood as average or expected results.
Past performance is not indicative of future results. Individual results depend on many factors outside our control, including your own effort, decisions, experience, market conditions, and risk. The typical purchaser or member should not expect to replicate any particular result, and many may make little or no money. You acknowledge that you have not relied on any promise or representation of earnings in deciding to use the Website or purchase any product.
4. Acceptance and Changes to These Terms
By using the Website, you accept these Terms. We may modify these Terms at any time at our discretion. The most current version supersedes all prior versions, and your continued use of the Website after changes are posted constitutes acceptance of those changes. We encourage you to review the Terms periodically. Where practical, we will update the “Effective date” above when we make material changes.
5. Children
CoinPicks does not knowingly collect personal information, online or offline, from children under 13. If you are under 13, do not use the Website or provide any personal information. If you are a minor in your jurisdiction, you may use the Website only with the involvement and permission of a parent or guardian.
6. Privacy Policy
Your use of the Website is also governed by the CoinPicks Privacy Policy, which describes how we collect, use, and share your information. Please review it, as it is incorporated into these Terms by reference.
7. Electronic Communications
When you visit the Website or send communications to CoinPicks, you are communicating with us electronically. You consent to receive communications from us electronically — by email and through the Website — and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that they be in writing.
8. Your Account
If you create an account, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your devices. You accept responsibility for all activity that occurs under your account. You may not assign or transfer your account to any other person or entity. CoinPicks is not responsible for third-party access to your account resulting from theft or misappropriation. CoinPicks may refuse or cancel service, terminate accounts, or remove or edit content in its sole discretion.
9. Purchases, Subscriptions, Refunds, and Cancellations
Prices and Payment. Prices for products, memberships, and subscriptions are displayed at the point of purchase. By completing a purchase, you authorize CoinPicks and its payment processors to charge your selected payment method.
Conditional Money-Back Guarantee. CoinPicks offers a 7-day conditional, 100% money-back guarantee on community memberships. To qualify for a refund, you must, within seven (7) days of your purchase:
- Complete the Investment Blueprint located in the Home Base classroom;
- Send your completed Investment Blueprint to Alex via direct message on the Skool platform; and
- Request your refund.
If all of these requirements are completed within the seven (7) day period, you will receive a 100% refund of your membership purchase. Refund requests that do not meet these conditions or are submitted after the seven (7) day period are not eligible for a refund. Physical goods (such as apparel), if offered, are non-refundable.
Subscriptions and Automatic Renewal. Paid memberships are recurring subscriptions that automatically renew at the then-current price and billing interval until canceled. Before you are charged, we disclose the price, billing frequency, and renewal terms, and you must affirmatively agree to them. You may cancel your subscription at any time by going to your account profile settings and canceling your membership. Cancellation stops future renewal charges but does not retroactively refund charges that have already been billed, except as provided under the Conditional Money-Back Guarantee above.
Free Trials. CoinPicks does not currently offer free trials for its memberships or subscriptions.
10. Intellectual Property and License
All content on the Website — including text, graphics, logos, images, video, research, and software (including the Tools and the text of every AI Trader prompt), and the compilation of all content — is the property of CoinPicks or its suppliers and is protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your own personal, non-commercial use, strictly in accordance with these Terms. You may not modify, publish, transmit, reverse engineer, sell, resell, create derivative works from, or otherwise exploit any content, in whole or in part. CoinPicks content is not for resale. You may not remove or alter any proprietary notices. You acquire no ownership rights in any content, and we grant no licenses except as expressly stated here.
11. Acceptable Use
As a condition of your use, you warrant that you will not use the Website for any unlawful or prohibited purpose. You may not use the Website in any way that could damage, disable, overburden, or impair it, or interfere with anyone else’s use. You may not attempt to obtain materials or information through any means not intentionally made available through the Website.
12. Community and Communication Services
The Website may include communities, chat areas, forums, comment sections, or other communication features (“Communication Services”). You agree to use them only for lawful, appropriate messages related to that feature. By way of example and not limitation, you agree that you will not: defame, abuse, harass, stalk, threaten, or violate the legal rights of others; post anything unlawful, infringing, obscene, defamatory, or otherwise objectionable; upload material you do not have the rights to, or that contains viruses or harmful code; advertise or solicit goods or services unless expressly permitted; conduct surveys, contests, pyramid schemes, or chain letters; harvest others’ information, including email addresses, without consent; impersonate others or falsify attributions; restrict others’ use of the Communication Services; or violate any applicable law, regulation, or posted guideline.
CoinPicks has no obligation to monitor the Communication Services but may review and remove any material, and may terminate your access, at its sole discretion and without notice. CoinPicks may disclose information as necessary to comply with any law, regulation, legal process, or governmental request. CoinPicks does not control or endorse content posted by users and disclaims liability for it. Community managers and hosts are not authorized CoinPicks spokespersons, and their views do not necessarily reflect ours. Use caution when sharing personal information in any Communication Service.
13. User Submissions
CoinPicks does not claim ownership of materials you submit, post, or upload (including feedback and suggestions) (“Submissions”). However, by providing a Submission, you grant CoinPicks and its affiliates and sublicensees a worldwide, royalty-free license to use, copy, distribute, transmit, publicly display and perform, reproduce, edit, translate, and reformat your Submission in connection with our business, and to publish your name in connection with it. No compensation is payable for use of your Submission. We are not obligated to post or use any Submission and may remove it at any time. You represent that you own or control all rights to your Submissions.
14. Third-Party Links and Services
The Website may link to third-party websites (“Linked Sites”) that are not under our control. CoinPicks is not responsible for the content of any Linked Site and provides links only as a convenience; inclusion of a link does not imply endorsement. Some Services may be delivered by third parties — including the third-party AI platforms described in Section 2; by using such functionality, you consent to CoinPicks sharing relevant information with the third party providing that functionality on your behalf.
15. International Users
The Website is controlled and operated by CoinPicks from within the United States. If you access it from outside the U.S., you are responsible for compliance with local laws. You agree not to use the Website or its content in any jurisdiction or manner prohibited by applicable law.
16. Disclaimer of Warranties
THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES AVAILABLE THROUGH THE WEBSITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS, AND CHANGES ARE PERIODICALLY MADE. COINPICKS AND ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, OR ACCURACY OF ANY CONTENT FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL CONTENT IS PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. COINPICKS AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE FOREGOING APPLIES EQUALLY TO ALL SOFTWARE TOOLS WE PROVIDE, TO ANY OUTPUT GENERATED BY OR THROUGH ANY AI TOOL OR THIRD-PARTY AI PLATFORM, AND TO ANY TRADE PLACED, DELAYED, MISPRICED, DUPLICATED, OR NOT PLACED BY OR THROUGH ANY TOOL.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COINPICKS OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER — INCLUDING DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, OR TRADING OR INVESTMENT LOSSES — ARISING OUT OF OR CONNECTED WITH THE USE OR PERFORMANCE OF THE WEBSITE, ANY DELAY OR INABILITY TO USE THE WEBSITE, OR ANY CONTENT, PRODUCTS, TOOLS, AI-GENERATED OUTPUT, AUTOMATED TRADING, OR SERVICES OBTAINED THROUGH IT, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF COINPICKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PART OF THE WEBSITE OR THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE WEBSITE.
18. Indemnification
You agree to indemnify, defend, and hold harmless CoinPicks and its officers, directors, employees, agents, and third parties from any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of (or inability to use) the Website or Services, any content you post, your violation of these Terms, or your violation of any rights of a third party or any applicable law. CoinPicks may, at its own cost, assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate.
19. Arbitration
If the parties cannot resolve a dispute arising out of or concerning these Terms — whether in contract, tort, or otherwise — the dispute shall be resolved exclusively by final and binding arbitration under the Federal Arbitration Act, conducted by a single neutral arbitrator administered by the American Arbitration Association (or a similar service the parties select), in a mutually agreed location. The arbitrator’s award is final, and judgment may be entered in any court of competent jurisdiction. The prevailing party is entitled to recover its costs and reasonable attorneys’ fees. The parties agree to arbitrate all disputes and claims related to these Terms, including tort claims. The Federal Arbitration Act governs interpretation and enforcement of this provision. The arbitrator decides the scope and enforceability of this provision. This provision survives termination of these Terms.
20. Class Action Waiver
All arbitration will take place on an individual basis. Class arbitrations, class actions, and representative or collective actions are not permitted. THE PARTIES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, INCLUDING ANY PRIVATE ATTORNEY GENERAL ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person’s claims or preside over any representative or class proceeding.
21. Termination and Access Restriction
CoinPicks may, in its sole discretion and without notice, terminate your access to the Website and Services, in whole or in part, at any time. Use of the Website is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms.
22. Governing Law
To the maximum extent permitted by law, these Terms are governed by the laws of the State of Florida, and you consent to the exclusive jurisdiction and venue of the state and federal courts located in Florida for all disputes arising out of or relating to the Website not subject to arbitration.
23. General
No joint venture, partnership, employment, or agency relationship is created between you and CoinPicks by these Terms. CoinPicks’ performance is subject to existing laws and legal process, and nothing here limits our right to comply with governmental, court, and law enforcement requests. If any provision of these Terms is found invalid or unenforceable, it will be replaced by a valid, enforceable provision that most closely matches the intent of the original, and the remaining provisions will stay in effect. These Terms constitute the entire agreement between you and CoinPicks regarding the Website and supersede all prior communications and proposals. A printed version of these Terms and any electronic notice will be admissible in proceedings to the same extent as other business records. The parties intend that these Terms and all related documents be written in English.
